These terms govern the seller side of the Lutendo platform: the fee wallet, the membership plan, service fees, and Lutendo-guaranteed campaigns. They apply to sellers acting as entrepreneurs within the meaning of s. 14 BGB. Clause numbers are stable identifiers; the app refers to them.
S-1 Wallet (fee prepayment balance)
S-1.1 Purpose and exclusive use
The wallet is a prepayment balance for Lutendo's own service fees. The balance can be used solely to settle fees Lutendo invoices to you for platform services. It cannot be used to make payments to third parties, cannot be transferred, and does not bear interest. Lutendo does not provide payment services or e-money through the wallet.
S-1.2 Funding
The wallet is funded by SEPA bank transfer using the personal reference code shown in the app. Funding instructions become available only when wallet funding is activated for your account.
S-1.3 Refund of unused balance
Upon termination of the platform agreement, Lutendo refunds the unused wallet balance to the bank account it was funded from within 14 days of the termination taking effect. The balance is not otherwise withdrawable on demand; a refund of unused balance can also be requested where Lutendo has permanently discontinued the services the balance was prepaid for.
S-2 Membership plan
S-2.1 Included monthly credit allowance
The membership is a recurring service plan. It includes an allowance of the number of campaign credits stated at purchase for each billing period, at a bundle price below the pay-as-you-go rate. Included allowance credits are usable during their billing period; unused included credits do not carry over into the next period and are not refunded. This no-carry-over rule is displayed at purchase and on every renewal invoice.
S-2.2 Pay-as-you-go credits never expire
Credits purchased individually (pay-as-you-go packs) are not part of the membership allowance, do not expire, and are consumed only after the current period's included allowance has been used.
S-2.3 Cancellation
The membership can be cancelled at any time with effect from the end of the current billing period. Until then the included allowance remains usable; no further periods are charged.
S-2.4 Free trial allowance
A free trial, where offered, grants a stated number of campaign credits at no charge, once per seller account. The trial allowance is usable for the stated number of days from the day it is claimed; it is neither an included membership allowance (S-2.1) nor a purchased balance (S-2.2), is not refundable, and is not renewed. This time limit is disclosed to the seller before the trial is claimed. No payment is made for a trial allowance, so it is not the paid, self-deposited balance BGH III ZR 302/00 and III ZR 157/10 protect from forfeiture; those rulings govern value a customer has paid in, and none has been paid here.
S-3 Service fees are independent of cashback events
Service fees compensate Lutendo's platform services (campaign infrastructure, tester matching, verification, reporting). They are calculated per the price list, invoiced in your bill history, and are due regardless of whether, when, or in what amount cashback is paid to any individual tester. Service fees are not a forwarding of tester cashback and are not earmarked for it.
S-4 Lutendo-guaranteed campaigns and seller default
For campaigns marked "Lutendo guaranteed", Lutendo owes the tester cashback as its own obligation and pays it regardless of the status of your payments to Lutendo. Your obligation to pay Lutendo's fees and charges for such campaigns is a separate claim of Lutendo against you; default interest and further rights on default follow the statutory rules for commercial transactions.
